STATUTES OF THE ALL-RUSSIAN NON-PROFIT ORGANIZATION PROFESSIONAL PSYCHOTHERAPEUTIC LEAGUE
1. General Regulations.
All-Russian non-profit organization Professional Psychotherapeutic
League, hereinafter referred as “The League”, in abbreviated form PPL,
is a voluntary community which unites citizens and groups of citizens
on the basis of common interests for providing improvement and
perfection of psychotherapeutic help; strengthening of the citizens'
health; satisfaction of professional, personal and social interests of
psychotherapists.
PPL is a legal entity since it is registered by the state
authorities. It possesses an independent balance, accounts in banks,
official seal and stamps with its title, which are registered in
accordance with a legally established procedure, PPL has its own
trappings, possesses a separate property, has a right to obtain
property and personal non-property rights and duties sui juris, acts as
a plaintiff and a defendant in court and arbitrage, arrange deals which
correspond to its activity in Russia and aboard.
The organization carries out its activity in the majority of
subjects of the Russian Federation. Activity of the League is governed
by the existing legislation of the Russian Federation as well as by the
present Statutes.
Activity of the non-profit organization PPL is public and it is
carried out on the basis of the following principles: self-government,
voluntariness, equality and collaboration with state and
nongovernmental organizations and associations.
1.2. Title: Professional Psychotherapeutic League
In English: Р r о fessional psychotherapeutic League
1.3. Location of the governing body of the League – the Board - Moscow.
2. The League's Aims and Objectives
2.1. The main aims of the League are:
• to promote efficient development of psychotherapeutic care of the highest standards
• to promote maintenance and development of mental health of citizens of Russia
• to improve education in the field of psychotherapy and related areas
• to provide training in psychotherapy in accordance with the programs of PPL and European Certificate of Psychotherapy
• to promote forming of a civilized service market in the field of psychotherapy
• to develop psychotherapeutic practice and research
• to develop international collaboration in the field of psychotherapy
• to promote defense from an incompetent impact of those who need the psychotherapeutic help
• to defend legal professional rights of the League's members
• to create conditions for maintenance and development of
professional competence and high standard of efficiency of League's
members
• to promote consolidation of creative and business relations with
foreign partners and international organizations and inside the League
The objectives of the League are:
• to unite specialists in the field of psychotherapy
• to promote high standards of ethics, training and education for the benefit of the general public
• to scrutinize the professional activities of the League's members for promotion of improvement of their professional level
• to inform its members and the society about events and phenomenon
in the field of psychotherapy, also with the help of electronic mediums
• to inform the society about the opportunities of modern psychotherapy
• to collect and analyze information in the field of psychotherapy
• to provide publishing activity in the field of psychotherapy
• to attract resources for development of the League
• to help the League's members with job placement
2.2. For achievement of its aims the League:
• develops initiative activity for realizing its aims and objectives
• interacts with public bodies and non-profit associations in accordance with established procedure
• puts forward proposals concerning different problems of public
life to e xecutive and legislative bodies in accordance with the
legally established procedure
• participates and organizes meetings, conferences, seminars, weeks, decades and other training series in Russia and aboard
• appears in mass media
• takes part in the work of examination, certifying and other commissions
• establishes a register of specialists in the field of psychotherapy
• acts as an official representative of the European Association
for Psychotherapy and other international psychotherapeutic
organizations in Russia
3. Structure, governing and control and inspection bodies of the League
3.1. The governing bodies of the League are:
• The General meeting
• Central Board of the League (hereinafter referred as the Board)
• President of the League
3.2. The controlling unit of the League is the Inspection commission.
3.3. The General Meeting a superior governing body which takes place
once a year. The Board announces about the calling of the Meeting and
informs about the issues which are to be examined at least 3 months in
advance.
3.4. General Meeting of the League:
• carries out decisions on basic, current and long-term issues of the League's activity
• adopts the Statutes of the League, ratifies Statutes of the
League, amends and supplies the Statutes according to the established
procedure
• carries out decisions about reorganization and liquidation of the League
• elects the Inspection Commission for a 3 year period
• elects the Vice-Presidents for a 1 year period
• adopts the annual reports of the Inspection Commission
• elects the President of the League for the period of 3 years
• carries out decisions about the cessation of activity of the League
3.5. Extraordinary Meetings are called on initiative of the Central
Board, at the suggestion of the President, the Inspection Commission
and on initiative of not less than 25 % of the League's departments.
3.6. The decisions of the General Meeting are made on the basis of
voting by means of the simple majority when at least a half of members
take part in the Meeting.
3.7. Between the General Meetings the standing governing body of the
League is the Central Board of the League. The Central Board is called
as necessary but not less than four times a year. The decisions of the
Central Board are established on the basis of voting on the principle
of the simple majority when at least a half of members of the Board are
present at the meeting.
• The Central Board of the League:
• consists of the President, Vice Presidents elected by the General
Meeting and other members appointed by the Central Board for a 1 year
period
• determines the ways of realization of the General Meeting decisions
• acts as a legal entity
• elects the heads of committees, academic secretaries, national delegates, members of the Central Board
• quarterly hears the report about the activity of the Executive Directors and Academic Secretaries of the League
• adopts the President's and the Executive Director's report about financial expenditure
• adopts the League's staff list presented by the Executive Director
• carries out decisions on awards and encouragements of the League members
3.10. The President of the League:
• is elected for a period of 3 years.
• realizes general management of the League between General Meetings:
• represents the League in relations with public bodies, non-profit
associations and other organizations, as well as in international
contacts;
• signs financial and other documents on behalf of the League, takes on liability;
• acts on behalf of the League and its Board without a letter of attorney;
• calls the General Meeting and the Board Meeting, carries out other powers in accordance with the present Statutes.
3.11. The Executive Director :
• is elected by the General Meeting for a period of 2 years
• represents the League in relations with public bodies, non-profit
associations and other organizations, as well as in international
contacts;
• sign financial and documents on behalf of the League, takes on liability;
• acts on behalf of the League and its Board without a letter of attorney;
3.12. The Inspection Commission is elected by the General Meeting of
the League 3 members of the League in number. Members of the governing
body of the League can't form a part of the Inspection Commission.
3.13. The Inspection Commission :
• controls financial and economic activity of the League and
presents results of the check to the General Meeting and the Board of
the League
• has a right to familiarize itself with all the documents which
are connected with the financial and economic activity of the League
and which are covered by the Commission's terms of reference
• presents a report on its activities to the General Meeting
• carries out the check of financial and economic activity of the League when necessary but not less than once a year
4. The structure and governing bodies of the regional
departments and representative offices of the League and their
relations with the central bodies of the League
4.1. A regional department or representative office of the League is
a voluntary union of the League members, which consists of at least 4
members of the League.
4.2. The governing bodies of a regional department, representative office are:
• Regional General Meeting
• Regional Managing Committee
• Regional President
• Regional Executive Director
Control and inspection commission is a controlling unit.
4.3. Regional General Meeting :
• carries out decisions on current and long-term issues of activity
• adopts annual reports on activity of the Managing Committee and the Inspection Commission
• forms the Managing Committee and the Inspection Commission
• carries out decisions about cessation of activity
4.4. Extraordinary Regional Meetings are called on initiative of the
Regional Managing Committee or at suggestion of the Chairman as well as
on initiative of at least 25 % of members.
4.5. Decisions of the Regional General meeting concerning election
of the Regional Managing Committee are determined on the basis of
secret voting, and concerning other issues on the basis of voting by
show by the simple majority when at least 2/3 of members take part in
the meeting.
4.6. The candidates are recognized elected in the Regional Managing
Committee and Inspection Commission if they gain the majority.
4.7. Regional Managing Committee is called when necessary but not
less than four times a year. The decisions of the Regional Managing
Committee are determined on the basis of voting by show by the simple
majority when at least 2/3 of the members of the Regional Managing
Committee are present at the meeting.
4.8 Regional Managing Committee :
• determines the ways of realization of the Regional General Meeting decisions
• quarterly hears a report about activity of the Regional Executive Director
• twice a year hears the Regional President's report
• delegates its representatives for participation in examination, certifying and other commissions
• adopts annual budgets, program budgeting, plans of main events
• adopts the list of members of the staff
• carries out decisions on awards and encouragements
4.9. Regional President :
• is elected for a period of 3 years
• realizes the general management between Regional General Meetings and the meetings of Regional Managing Committee
• represents the regional department or representative office in relations with public bodies and non-profit associations
• appoints the Regional Executive Director
• signs financial and other documents on behalf of the Regional League's body
• calls a meeting of the Regional Governing Committee and carries out other powers in accordance with the present Statutes.
Regional Executive Director :
• signs financial and other documents on behalf of the League' body, takes on liability;
• represents the regional department or representative office in relations with public bodies and non-profit associations
• acts on behalf of the League's body by proxy
4.10. Regional Inspection Commission is elected by the General
Meeting 3 members of the League in number for a period of 2 years. The
members of the Managing Committee can't form a part of the Inspection
Commission.
Regional Inspection Commission controls financial and economic
activity of the League and presents the results of the check to the
General Meeting and the Managing Committee.
The check of financial and economic activity is carried out at least twice a year.
4.11. Relations between the governing bodies of the Regional
department or representative office and the central bodies of the
League.
4.12. The governing bodies of departments or representative offices
are independent in the context of all issues concerned with the
activity of the department with the exception of the issues covered by
the terms of reference of central governing bodies of the League.
5. Members of the League. Their rights and duties.
5.1 Individuals who are citizens of the full legal age and legal
entities which are public associations can be members of the League.
5.2 The League provides honorary membership. Outstanding figures in
the field of psychotherapy who have made a particularly important
contribution in development of psychotherapy can be honorary members.
The honorary members are freed from paying the membership fees.
5.3 Acceptance to the League is carried out by the Board of the
League: natural persons are admitted on the basis of a written
application; legal entities are admitted on the basis of the governing
body of the public association which is becoming a member.
5.4 Members of the League both legal entities and individuals are equal in their rights and duties.
• Members of the League have a right:
• to elect and be elected in governing and controlling bodies of the League
• to take part in all events organized by the League
• to introduce before governing bodies of the League motions
concerning all issues of the League's activity and take part in the
discussion of these motions
• to withdraw from the League at their will after informing about it in written form at least two weeks in advance
• Members of the League are obliged:
• to strengthen the authority of the League
• to participate actively in realization of the aims and objectives of the League
• to carry out decisions of the governing bodies of the League
• to meet the requirements of the present Statutes as well as the moral standards and the standards of professional ethics
• to pay membership fees in proper time
• Members of the League can be awarded and be offered an incentive
(including medals of the League, prize places in Person of the League
nomination) for active participation in activity of the League and for
achievements in the field of psychotherapy.
6. Amending and supplying of the Statutes of the League.
• Amending and supplying the Statutes can be done according to the decision of the General Meeting.
• The decision concerning amending and supplying of the Statutes
can be made by a 2/3d majority of the delegates present on the General
Meeting of the League.
• Amendment and supplements of the Statutes are subjects of the
state registration in accordance with the legally established procedure
and take legal effect after such registration.
• Financial means and property of the League.
• The League possesses settlement and other accounts in banks. The
League as a legal entity has a right to own the following property:
ground areas, buildings, constructions, structures and housing
resources, transport, equipment, implements, property of cultural,
educational, sporting and health-improving purposes, financial means,
shares, other securities and other property, including intellectual
property, which is helpful for material provision of activity of the
League mentioned in these Statutes. The League can also own
institutions, publishing houses, mass media, which are created and
purchased by means which were obtained in accordance with the aims of
the League mentioned in these Statutes. The League possesses, uses and
makes arrangements with its property, which it owns on legal ground, it
can obtain rights of property, perform the duties, acts as a plaintiff
and a defendant in arbitrage, make deals, conclude treaties, make
contracts and complete agreements.
• The owner of the property is the League in general. Each member
of the League individually has no right of property for a part of the
property which belongs to the League.
• Sources of forming of the League's property are:
• Voluntary admission and membership fees
• Optional contributions, charitable endowments, including
endowments for a specified purpose, from natural persons and legal
entities in terms of money and as payment in kind
• Incomes from business activity of the League
• Incomes from the securities
• Incomes from resource formation activity (incomes from lecturing,
exhibitions, auctions, lotteries, sport events and other events, which
a carried out in accordance with the Statutes)
• Other legal incomes
• The incomes from business activity are used for realization of
the League's aims mentioned in the Statutes and can't be distributed
among members of the League.
• Regional departments of the League which act on the basis of the
present Statutes have a right to administer day-to-day the property
which is assigned to them.
• Regional departments of the League which act on the basis of their own Statutes are the owners of the property they possess.
• Reorganization and liquidation of the League.
• Reorganization of the League (transformation, amalgamation,
annexation, division, separation) is carried out according to decision
of the General Meeting of the League on basis of the existing
legislation.
• The decision about reorganization can be made by a 2/3d majority
of the delegates present on the General Meeting of the League.
• Liquidation of the League is carried according to decision of the
General Meeting of the League or to a court decision in accordance with
the procedure established in the existing legislation.
• The property which is left as a result of liquidation of the
League according to the decision of the General Meeting after claim
settlement is directed toward realization of the aims the League was
created for.
• The property which is left as a result of liquidation of the
League according to the decision of the General Meeting can not be
distributed among members of the League. The decision about utilization
of residuary property is published by the liquidation commission in the
press. The decision about liquidation of the League is referred to the
institution which has registered the League for excluding it from the
total state register of the legal entities.
• All the proceedings of the liquidated League (constituent
instruments, minutes, orders, account books, documents concerning the
executive personnel etc) are referred to the state archival body
according to the inventory.
• Addendum to the Statutes of PPL № 1
According to the decision of the VI meeting of the League (19th of
May 2004 in the Russian Academy of Public Administration under the
President of the Russian Federation, Moscow) and amendment of the VIII
meeting in 2006 the following is introduced:
